Where no agreement is in place, the terms of the partnership will be imputed from the Partnership Act 1890. Because of this, the position can be far less clear in the absence of an agreement, highlighting the importance of early legal advice and the need to have shareholder/partnership agreements in place when relationships are more stable. 

There are typically several routes available to deal with exits, depending on the circumstances. A party may sell his/her shares back to the company or to the remaining owners; a new investor could be brought in, the partnership might be dissolved entirely, or the business may need to be restructured. In more difficult situations, disputes can arise over valuation, control, or the terms of departure.

Handled well, a partner exit can be a smooth transition that protects the business and its future. Handled poorly, it can lead to costly disputes, court cases, operational disruption, and further damage to relationships.
